1. Definitions
1.1. Client: The individual, company, or organisation engaging us for recruitment services.
1.2. Candidate: Any person introduced by us to the Client for a potential engagement or employment.
1.3. Engagement: The employment, placement, or use of a Candidate on a permanent, temporary, or consultancy basis by the Client.
1.4. Introduction: When we provide information about a Candidate to the Client via email, phone, in person, or other communication methods.
1.5. Recruitment Fee: The fee payable by the Client to us upon the successful engagement of a Candidate.
2. Scope of Services
2.1. We provide recruitment, staffing, and talent acquisition services to connect Clients with Candidates.
2.2. Our services include permanent placement, temporary staffing, contract recruitment, and consultancy services as agreed with the Client.
3. Client Obligations
3.1. The Client must provide accurate and complete information regarding their recruitment needs, job requirements, and company details.
3.2. The Client agrees to notify us immediately upon engaging a Candidate we have introduced.
3.3. The Client agrees to pay the Recruitment Fee in accordance with these Terms and Conditions.
3.4. The Client is responsible for ensuring the Candidate has the legal right to work in the UK and for verifying their qualifications and references, unless otherwise agreed.
4. Candidate Obligations
4.1. Candidates must provide accurate and truthful information about their qualifications, experience, and legal work eligibility.
4.2. Candidates agree that their data may be processed and shared with potential employers as part of the recruitment process.
5. Recruitment Fees and Payment
5.1. The Recruitment Fee is calculated as a percentage of the Candidate’s first-year gross annual remuneration (including salary, bonuses, and other benefits), or as otherwise agreed in writing.
5.2. Fees are payable within 28 days of the Candidate’s engagement.
5.3. Late payments will incur interest above the Bank of England base rate per annum, calculated daily.
5.4. All fees are exclusive of VAT, which will be added at the prevailing rate.
6. Refunds and Replacements
6.1. If the Candidate’s engagement is terminated within 28 days of their start date (other than through redundancy), we will provide one of the following, at our discretion:

7.1. We make reasonable efforts to ensure the suitability of Candidates but do not guarantee their performance, conduct, or suitability.
7.2. We are not liable for any losses, damages, or expenses arising from the engagement of a Candidate, including but not limited to:
7.3. Our total liability for any claim is limited to the value of the Recruitment Fee paid by the Client.
8. Data Protection and Privacy
8.1. We comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
8.2. We process personal data provided by Clients and Candidates only for the purposes of recruitment services.

9. Confidentiality
9.1. All information provided by us, Clients, and Candidates during the recruitment process must remain confidential.
9.2. Neither party may disclose confidential information to third parties without prior written consent, except as required by law.
10. Termination of Services
10.1. Either party may terminate our engagement with written notice.
10.2. Termination does not absolve the Client of paying any fees owed for services already rendered.
11. Intellectual Property
11.1. All materials, content, and documentation we provide remain our intellectual property and must not be reproduced or shared without our prior consent.
12. Governing Law and Jurisdiction
12.1. These Terms and Conditions are governed by the laws of England and Wales.
12.2. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Complaints and Dispute Resolution
